End-User License Agreement

The licence terms that govern how you may install and use the Sentinel Core Vision software.

This End-User License Agreement (the "Agreement") is a legal agreement between you ("you", the "licensee") and Sentinel Core Vision, a sole proprietorship ("we", "us", "our"), for the Sentinel Core Vision software application, launcher, local dashboard, and any updates, components, and documentation we provide (together, the "Software"). The Software is a real-time computer-vision desktop application accompanied by a local dashboard. By installing, activating, or using the Software, you agree to be bound by this Agreement.

1. Licence grant

Subject to your compliance with this Agreement and to an active, valid licence, we grant you a limited, personal, non-exclusive, non-transferable, and revocable licence to install and use the Software for its intended purpose. Your licence is tied to a licence key and to the device or devices on which the Software is activated, which may be identified by a hardware identifier ("HWID"). We may bind a licence to a limited number of activated devices.

2. Software is licensed, not sold

The Software is licensed, not sold. This Agreement grants you rights to use the Software only; it does not transfer to you any ownership of the Software or of any copy of it. We and our licensors retain all right, title, and interest in and to the Software. Your rights are limited to those expressly granted in this Agreement, and all rights not expressly granted are reserved.

3. Permitted use

You may:

  • install and use the Software on the device or devices covered by your licence, within any activation or machine limits that apply to your plan;
  • configure, tune, and operate the Software through its dashboard for your own lawful purposes; and
  • make a reasonable number of backup copies of the installer solely for your own recovery purposes.

Because the Software is a general-purpose, configurable computer-vision tool, its performance depends on your hardware, the model you use, your configuration, and your environment. You are responsible for how you use the Software and for the inputs and outputs you choose to process. Please use it responsibly and comply with applicable laws and any third-party terms. 4. Restrictions

Except to the extent that a restriction is prohibited by applicable law, you may not, and may not permit anyone else to:

  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying ideas of the Software;
  • copy, distribute, publish, resell, rent, lease, lend, sublicense, or otherwise redistribute or make the Software available to any third party;
  • share, sell, transfer, or resell your licence key, or use a licence key you did not lawfully obtain;
  • circumvent, disable, or tamper with the licensing, activation, HWID binding, security, or usage-control features of the Software, or use it beyond the machine or activation limits of your plan;
  • modify, adapt, or create derivative works of the Software, except as expressly permitted by this Agreement or by applicable law;
  • remove, obscure, or alter any proprietary notices, labels, or marks on or in the Software; or
  • use the Software to develop a competing product or service.

5. Ownership & intellectual property

The Software, together with all associated source code, models, designs, text, graphics, trademarks, and other content, and all related intellectual property rights, are and remain owned by us or our licensors. This Agreement does not grant you any rights to our trademarks, trade names, or branding. All rights not expressly granted to you are reserved by us and our licensors.

6. Updates & changes

We may provide updates, upgrades, patches, or new versions of the Software from time to time, and we may do so automatically. Updates are governed by this Agreement unless they are accompanied by separate terms. Updates may add, change, or remove features, and may modify system or hardware requirements. We are not liable for changes that result from third-party software, hardware, models, or platform updates that are outside our control.

7. Term & termination

This Agreement takes effect when you first install, activate, or use the Software and continues until it is terminated. Your licence to use the Software also depends on your having an active, valid licence under your plan.

Consistent with our Terms of Service, we may suspend or terminate your licence if you breach this Agreement or misuse the Software, or where required by law. You may terminate this Agreement at any time by ceasing to use the Software and removing all copies from your devices. On termination for any reason, your licence ends, and you must stop using the Software and delete or uninstall all copies in your control. Sections that by their nature should survive termination — including ownership and intellectual property, restrictions, disclaimers, limitation of liability, and governing law — will survive.

8. Disclaimer of warranties

To the fullest extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted or error-free, that it will be compatible with your specific hardware, model, or configuration, or that it will achieve any particular result or level of performance. There is no guarantee of uninterrupted or error-free operation. Nothing in this Agreement excludes or limits any warranty or right that cannot be excluded or limited under the mandatory laws that apply to you.

9. Limitation of liability

To the fullest extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or relating to the Software or this Agreement. To the extent permitted by law, our total aggregate liability arising out of or relating to the Software will not exceed the amount you paid us for the licence to the Software in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and your statutory rights remain unaffected.

10. Export & lawful use

You represent that you are not located in, and will not use or export the Software into, any country or to any person where doing so would violate applicable export-control, sanctions, or trade laws. You agree to use the Software only for lawful purposes and to comply with all laws and regulations that apply to you, as well as the terms and policies of any third-party software, platform, service, or hardware you use the Software alongside.

11. Governing law

This Agreement is governed by the laws of the United States (with the governing state to be finalized), without regard to conflict-of-laws rules. Where you are a consumer, you also keep the benefit of any mandatory protections of the law of the country where you live. Disputes are handled as described in our Terms of Service.

12. General

This Agreement, together with our Terms of Service and the policies referenced in them (including our Refund Policy and Acceptable Use Policy), forms the entire agreement between you and us regarding the Software. If any provision is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign this Agreement without our consent; we may assign it in connection with a transfer of our business.
